A well-established, full-service mid size law firm in the western GTA is seeking an experienced Corporate Law Clerk.
This is an excellent opportunity to handle a mix of sophisticated and routine corporate matters, working both independently and alongside seasoned lawyers across a broad range of transactions and filings.
Responsibilities
Prepare and file corporate documents for both straightforward and complex transactions, including incorporations, amendments, continuances, amalgamations, and dissolutions across federal and provincial statutes
Handle provincial and federal filings through the relevant registries and platforms
Keep corporate records current, including annual returns, extra-provincial registrations, and related renewals and amendments
Administer business name, general partnership, and limited partnership registrations
Carry out corporate record reviews and due diligence, and prepare rectification materials where gaps are identified
Draft transaction documentation for mergers, acquisitions, financings, share and asset sales, and reorganizations
Build corporate structure charts, closing agendas, and reporting letters
Maintain minute books and draft resolutions covering dividends, redemptions, and changes to directors, officers, or registered offices
Work directly with lawyers and clients to scope out required documentation, searches, and filing steps for each matter
Provide mentorship to junior clerks and support students and associates as they develop Qualifications
At least 5 years of corporate law clerk experience within a law firm
ILCO certification and current membership in good standing
Solid working knowledge of the federal and provincial statutes governing corporate matters
Familiarity with corporate management software
Clear, confident communication with clients and colleagues at every level
Strong organizational and time-management skills, with a sharp eye for detail
Comfortable working independently while still collaborating as part of a team
Adaptable to changing priorities, with occasional availability outside standard hours
Pay: $70,000.00-$85,000.00 per year
